Macfarlane Group PLC (MACF)

Macfarlane Group PLC

AGM Statement & Dividend
Macfarlane Group PLC
09 May 2006

                              Macfarlane Group PLC

AGM statement and interim dividend declaration

In March 2006, I reported a positive start to 2006 and that the Board
anticipates for the full year a significant advance in profits over 2005. At the
end of the first quarter we have seen sales growth over the same period in 2005
in all our businesses except Labels, where new business wins are taking longer
than expected to achieve. Our anticipation of a significant advance in profits
in 2006 is maintained.

The Board today declares that payment of an interim dividend of 1p per ordinary
share will be made on Thursday 22 June 2006 to those shareholders on the
register on 26 May 2006.
