        SALE OF NATIONAL PACKAGING GROUP ('NPG')
         TO MACFARLANE GROUP PLC ('Macfarlane')


Further  to the announcement this morning Charles  Baynes
confirms  that the sale of NPG to Macfarlane for  a  cash
consideration  of £21.7 million (including  repayment  of
intra-group debt) has now been completed.

capitalisation  of approximately £100 million.  Following
the implementation of its strategic review (involving the
sale  of  NPG, the proposed sale of the Industrial  Tools
and   Supplies  division  and  a  return   of   cash   to
shareholders), the Group's sole activity will be its £150
million  sales Flow Control division which is engaged  in
the  specialist  distribution  and  manufacture  of  Flow
Control   products   such   as  valves,   actuators   and
