                   Clarification re Macfarlane offer period

In response to queries raised by a number of its shareholders, British
Polythene Industries PLC ('BPI') would like to clarify the position regarding
the period for which the increased final offer for BPI by Macfarlane Group PLC
('Macfarlane') will be capable of acceptance by BPI shareholders.

The facts are as follows:

* If Macfarlane's offer becomes or is declared unconditional as to acceptances
  at any time, it must remain open for BPI shareholders to accept for at least
  14 days from the date it is declared unconditional as to acceptances.

* Macfarlane must also write to BPI's shareholders giving at least 14 days'   
  notice of this final date for acceptance.  

* Accordingly, if Macfarlane's offer is successful, BPI shareholders will     
  still be able to accept it after Saturday 16 December 2000 and up to the    
  final date for acceptance.

BPI shareholders who have already accepted the Macfarlane offer may withdraw
their acceptance by immediately completing the form of withdrawal previously
sent to them and sending it to Computershare Services plc in the reply paid
envelope provided.  Shareholders who no longer have a form of withdrawal can
obtain a replacement by contacting Computershare Services on 0870 702 0010.
